Terms & Conditions

1. Definitions

  • “Company” means [Solar Bright UK Ltd.], a company registered in [UK] under company number [Company Number].
  • “Customer” means the person or company who agrees to purchase goods and/or services from the Company in accordance with these terms and conditions.
  • “Goods” means the solar panels and other equipment that the Company agrees to supply to the Customer.
  • “Services” means the solar panel installation and other services that the Company agrees to provide to the Customer.

2. Order Acceptance

  • All orders placed with the Company by the Customer for Goods and/or Services shall constitute an offer to the Company under these terms and conditions, subject to availability of the Goods and Services and to acceptance of the order by the Company’s authorised representative.
  • All orders are accepted and Goods and/or Services supplied subject to these express terms and conditions only. No amendment to these terms and conditions will be valid unless confirmed in writing on or after the date hereof by the Company’s authorised representative.
  • It is agreed that these terms and conditions prevail over the Customer’s terms and conditions of purchase unless these latter terms and conditions are amended by the Company in writing and signed by the Company’s authorised representative.

3. Price and Payment

  • The price of the Goods and/or Services shall be the price quoted by the Company in the order confirmation, unless otherwise agreed in writing.
  • A deposit of 50% of the total price is required to confirm the order. The remaining 50% of the price is payable in full upon completion of the installation.
  • All payments must be made in [Sterling Pounds] and by [By Bank transfer].

4. Delivery and Installation

  • The Company shall use all reasonable endeavours to deliver the Goods and/or Services within the estimated delivery time, but cannot guarantee delivery on a specific date.
  • The Customer is responsible for providing the Company with access to the property where the solar panels are to be installed.
  • The Company shall not be liable for any delays in delivery or installation caused by factors beyond its control, such as bad weather or unforeseen site conditions.

5. Warranties

  • The Company warrants that the Goods and Services will be free from defects in materials and workmanship for a period of 12 months from the date of installation.
  • If any defects are discovered during the warranty period, the Company shall, at its discretion, repair or replace the defective Goods or Services at no charge to the Customer.
  • This warranty does not cover defects caused by normal wear and tear, misuse, or neglect.

6. Liability

  • The Company’s liability to the Customer for any losses or damages arising out of or in connection with this agreement shall be limited to the total price of the Goods and/or Services.
  • The Company shall not be liable for any indirect or consequential losses or damages, such as loss of profits or loss of business.

7. General

  • This agreement shall be governed by and construed in accordance with the laws of [England & Wales].
  • Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of [England & Wales].

8. Entire Agreement

  • This agreement constitutes the entire agreement between the parties and supersedes all prior agreements, representations, and understandings between the parties, whether written or oral.

9. Severability

  • If any provision of this agreement is held to be invalid or unenforceable, such provision shall be struck from this agreement and the remaining provisions shall remain in full force and effect.

10. Waiver

  • No waiver of any provision of this agreement shall be effective unless in writing and signed by both parties.

11. Notices

  • All notices and other communications under this agreement shall be in writing and shall be deemed to have been duly given when delivered in person, upon the first business day following deposit in the mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:
